PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT") CAREFULLY. BY ACCESSING, REGISTERING TO USE, OR USING THE WEBSITE OF WOODSTOCK MICROGREENS ("WEBSITE"), YOU ("YOU," "YOUR," OR THE "USER") ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, DO NOT ACCESS OR USE THE WEBSITE.


1. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the User and Woodstock Microgreens ("Woodstock," "we," "us," or "our") and supersedes any prior agreements or understandings regarding the subject matter herein. By using our Services, including the Website, you confirm that you are authorized to use our Services as described in this Agreement and that you will comply with all applicable laws, rules, and regulations.
2. DESCRIPTION OF SERVICE. Woodstock Microgreens provides its Website, including all information, images, tools, and other services made available through the Website (collectively, the "Services"). Any new features that enhance or modify the current Services will be subject to this Agreement, unless otherwise stated.
3. MODIFICATIONS TO SERVICE AND TERMS OF SERVICE. Woodstock Microgreens reserves the right to modify or discontinue the Services, in whole or in part, with or without notice. We shall not be liable to any User or any third party for any modification, suspension, or discontinuation of the Services. Additionally, we may revise the terms and conditions of this Agreement from time to time. Changes will be incorporated into the Agreement posted on the Website. Your continued use of the Services constitutes your agreement to abide by this Agreement and any modifications thereto.
4. PRIVACY POLICY. Woodstock Microgreens' Privacy Policy is incorporated by reference in this Agreement. Please refer to our Privacy Policy for information on how we collect, process, and use personal information in relation to the Services provided.
5. CONTENT OWNERSHIP. The content on the Woodstock Microgreens Website, including photos, articles, and site layout, as well as all logos owned by Woodstock Microgreens (collectively, "Site Content"), are protected by copyright and trademark laws and are the exclusive property of Woodstock Microgreens. You are granted a non-exclusive license to display the Site Content on your personal devices. Commercial use of the Site Content is strictly prohibited.
Unless explicitly stated otherwise, Users retain copyright ownership and related rights for the information they publish through Woodstock Microgreens' Services. However, in exchange for the publishing services provided, Users grant Woodstock Microgreens a perpetual, worldwide, non-terminable license to use all content published through the Services, without further permission or remuneration. This includes the right to create derivative works and reuse the content in other media. Users may not use the Woodstock Microgreens name for commercial purposes without prior written consent.
You acknowledge that any business proposals, suggestions, ideas, or other materials ("Business Submissions") you provide to us through the Services are not confidential and become the sole property of Woodstock Microgreens. We reserve the right to use, distribute, reproduce, modify, adapt, display, and otherwise utilize such Business Submissions without compensation, attribution, or confidentiality obligations.
6. CONTENT RESPONSIBILITY. We reserve the right to modify and update the Site Content or Services at any time, including correcting errors or removing objectionable content. We may, but have no obligation to, monitor, edit, or remove User Content that we determine, in our sole discretion, to be unlawful, offensive, threatening, defamatory, or otherwise objectionable. We shall not be liable for any actions or omissions concerning User Content.
You agree that you are solely responsible for any content you submit or transmit through the Services. By using the Services, you warrant that you have the necessary rights to post or transmit such content and that its use does not violate any applicable laws or infringe upon any third-party rights.
7. THIRD-PARTY LINKS. The Website may contain links to third-party websites. Woodstock Microgreens has no control over these websites and assumes no responsibility for the accuracy, legality, or content of any linked site. Inclusion of any third-party link on the Website does not imply endorsement, sponsorship, or association with Woodstock Microgreens. Accessing third-party websites is done at your own risk.
8. DISCLAIMERS AND LIMITATION OF LIABILITY.
a) WARRANTIES DISCLAIMER. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WOODSTOCK MICROGREENS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WOODSTOCK MICROGREENS DOES NOT WARRANT THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
b) LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WOODSTOCK MICROGREENS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WOODSTOCK MICROGREENS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES.
9. INDEMNIFICATION. You agree to defend, indemnify, and hold harmless Woodstock Microgreens and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of this Agreement, or your infringement of any rights of a third party.
10. GOVERNING LAW AND JURISDICTION. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Woodstock Microgreens is domiciled, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
11. SEVERABILITY. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.
12. SURVIVAL. Sections 5 (Content Ownership), 6 (Content Responsibility), 8 (Disclaimers and Limitation of Liability), 9 (Indemnification), 10 (Governing Law and Jurisdiction), 11 (Severability), and 12 (Survival) of this Agreement shall survive any termination or expiration of this Agreement.
